Step by step

  1. Find your document number on your Sunbiz record (Search Records).
  2. Confirm your registered agent. All LLC reinstatements must be signed by the registered agent, or the application is rejected (CR2E041; Fla. Stat. 605.0715). If your old agent is gone or won't sign, name a new one on the application: Sunbiz says you can change the agent and registered office (a Florida street address) when you reinstate. See choosing an agent.
  3. File:
    • Online: Sunbiz reinstatement. Typing your name is a valid signature (s. 15.16, F.S.). Filings can't be changed or refunded after submission.
    • By mail: form CR2E041 with a check payable to the Department of State.
  4. Wait for posting. Dissolved less than one calendar year and paid by card or E-File account: posts immediately. More than one year: 2–3 business days (name availability check).
  5. Calendar the next annual report (Jan 1 – May 1) with the checker's reminders, so it doesn't happen again.

Your LLC's name

The reinstatement can't change the LLC's name, and the authorized representative must certify that the name meets s. 605.0012, F.S. (CR2E041). Sunbiz says dissolved entities' names become available to others after one calendar year. If someone else has taken the name, Fla. Stat. 605.0715 requires the reinstatement to include an amendment adopting a different name. A name change itself is filed as an amendment, by mail.

Everything on a reinstatement application becomes public record on Sunbiz, including addresses (keeping your home address off it).

FAQ

How much does it cost to reinstate an LLC in Florida?

Can I reinstate a Florida LLC online?

Yes. Sunbiz has an online reinstatement filing. You need the LLC's document number, and Sunbiz says submitted filings can't be changed or refunded.

How long does reinstatement take?

Sunbiz says that if the LLC was dissolved less than one calendar year ago, online reinstatements paid by card or a Prepaid Sunbiz E-File Account post immediately. If more than one year, allow 2–3 business days because the name must be checked for availability. Check payments are processed in the order received.

Is there a deadline to reinstate?

Does reinstatement fix the gap while the LLC was dissolved?

Under Fla. Stat. 605.0715, reinstatement relates back to and takes effect as of the effective date of the administrative dissolution, as if the dissolution had never occurred.

Can I change my registered agent on the reinstatement?

Yes. Sunbiz says the reinstatement application lets you change the registered agent and registered office, principal and mailing addresses, managers or authorized representatives, and FEIN. It cannot change the LLC's name.
